Thanks to all the people who replied. I was able to use the first suggestion
and finally defrag.  HURRAH!

1) Turn off Anti-virus program. Reboot and start in "safemode." Try
defragging in this mode.

2) I have had this problem also.  Make sure your Virsus software is turned
off as
well.  Anything that shows up in the Sys Tray on the lower right hand side
of
the bottom bar can be a problem.  My home computer continued to have the
problem after I thought I had turned off all sys tray items, Norton, and any
screensavers so I reverted to using Norton UTILITIES to defrag by running
the
Norton Disk Doctor, then the Speed Disk program.  The reasoning for this is
that if you have any programs running in the background, they interrupt the
defrag once defrag hits the file that is live.  Screensavers are the worst
culprit because they are scheduled to start up at intervals that the user
sets, usually 10 minutes or so.  The second the screensaver is set to kick
in,
defrag stops.

3) Make sure nothing that checks a disk is running while you try a
defrag.

Don't connect to a network, unload the antivirus, unload the security,
unload any memory managers, unload filters, etc. The only things
loaded should be explorer and systray (use ctl/alt/del to find out what's
running). Then, run scandisk first so you don't need to check the disk
for errors. Then try defrag.
